LEGAL NOTICE

These Terms govern your use of SemiReal — the interactive video engine and platform operated by SemiReal, Inc., a Delaware corporation (SemiReal, we, us, our) — accessed through https://semireal.app and any SemiReal-associated website, mobile application/s, and services. Please read these Terms carefully: your use of the Website and engagement with any products or services offered on it is subject to these Terms. By engaging with us via the Website or continuing to use the Website, you agree to be bound by these Terms. We may change these Terms from time to time and will notify you through the Website.

Use of your personal information submitted via the Website is governed by our Privacy Policy. References to 'Website' within these Terms include any current or future version of our website and any SemiReal-associated mobile application/s through which you access our services, whether accessed through any current or future platform or device.

By accessing any part of the Website, you indicate that you accept these Terms. If you do not accept these Terms, you should leave the Website immediately.

ELIGIBILITY

You must be at least 16 years old to use SemiReal. By creating an account, you confirm that you are.

THE SERVICE

SemiReal is an interactive video engine and platform. The service includes: an editor for building scene-graph-based interactive video experiences; a player for audiences to play published projects; AI features (voice cloning, AI character interactions, in-browser speech recognition, real-time avatar rendering); and a discovery surface so creators and viewers can find each other.
We may add, change, or remove features at any time. We aim to give reasonable notice for material changes that affect you.

YOUR ACCOUNT

You are responsible for keeping your login credentials safe. Tell us immediately if you suspect unauthorised access at info@semireal.app.
You may delete your account at any time from your settings. Deletion is immediate. Some logs and backups may persist for limited periods as described in the Privacy Policy.

PAID FEATURES

SemiReal has free and paid features. Current plans, prices, and what each plan includes are shown at the point of purchase via Stripe.
Refunds and cooling-off: if you are a consumer in the EU, UK, or another jurisdiction with a statutory cooling-off period, you may cancel a paid purchase within 14 days for a full refund by emailing info@semireal.app. Outside that period, refunds are at our discretion.
Automatic refunds: if a purchase cannot be fulfilled, your payment is refunded automatically via Stripe.

AI FEATURES — YOUR WARRANTIES

SemiReal lets you clone voices and faces and create AI characters that interact with players. By using these features, you represent and warrant that: (a) you own all rights to any voice sample, face image, or other content you upload, or you have the documented consent of the rights-holder; (b) you will not clone a voice or face belonging to a real person — public figure, celebrity, friend, or anyone else — without their documented consent; and (c) you will not use cloned voices or AI characters to impersonate real people, defame anyone, generate non-consensual sexual content, mislead viewers about a speaker's identity, or commit fraud.
We may remove any AI character, voice, or face that we reasonably believe breaches this paragraph, and we may terminate accounts that misuse these features.
AI character conversations are processed via third-party services (Anthropic Claude on AWS Bedrock, ElevenLabs, Simli) as described in the Privacy Policy.

YOUR CONTENT

You retain ownership of everything you upload — videos, audio, images, project configurations, AI character personas, cloned voices, face images, and any other content (Your Content).
By uploading Your Content, you grant SemiReal a worldwide, royalty-free, non-exclusive licence to host, store, transmit, transcode, and display Your Content as needed to operate the service. The licence ends when you delete Your Content, except for backups retained for limited periods.
You are responsible for Your Content. By uploading it you represent that: you own or have all necessary rights to it; it does not infringe anyone else's intellectual property, privacy, or other rights; and it does not breach the Acceptable Use rules below.

ACCEPTABLE USE

You may not use SemiReal to upload, create, or distribute content that: infringes anyone's copyright, trademark, or other IP rights; is unlawful, defamatory, harassing, fraudulent, or threatening; sexually exploits or endangers minors (zero tolerance — content of this kind is reported to relevant authorities); contains malware, viruses, or other harmful code; promotes violence, terrorism, or hatred against any group; impersonates another person without their consent, including via voice or face cloning; is a deepfake of a real person without their documented consent; is non-consensual sexual or sexualised content (whether the depicted subject is real or fictional); or otherwise violates applicable law.
You also may not: reverse-engineer, decompile, or otherwise attempt to extract our source code (except as permitted by law); use the service to build a substantially similar competing service; scrape or systematically harvest data from the service except via our official APIs (if any); or circumvent rate limits, access controls, or paywalls.
We may suspend or terminate accounts for violations.

If you believe content on SemiReal infringes your copyright, send a notice to info@semireal.app with the subject line 'DMCA Takedown' containing: (a) your physical or electronic signature; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the material that is allegedly infringing, with enough detail for us to locate it (for example, the SemiReal project URL); (d) your contact information (address, phone, email); (e) a statement that you have a good-faith belief that the use is not authorised by the copyright owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorised to act on behalf of the copyright owner.
We will review the notice and, where appropriate, remove the allegedly infringing content. We may also disable accounts that repeatedly infringe. If your content has been removed and you believe the takedown was in error, you may send a counter-notice to the same email address with equivalent information.

INTELLECTUAL PROPERTY

The SemiReal service, brand, interface, code, and content (other than Your Content) are owned by us or our licensors. You may not copy, modify, distribute, or create derivative works of the service except as expressly allowed by these Terms.

AVAILABILITY AND WARRANTIES

We aim to keep SemiReal available 24 hours a day but make no commitment to uninterrupted service. The service is provided 'as is' without warranty of any kind, to the maximum extent permitted by law.
Nothing in these Terms limits any non-excludable consumer rights you have under the Australian Consumer Law (if you are in Australia), the EU or UK consumer rights regimes (if you are in the EU or UK), or equivalent laws in your jurisdiction.

LIABILITY

To the maximum extent permitted by law, we are not liable to you for any indirect, consequential, incidental, special, or punitive damages — including lost profits, lost data, or lost opportunity — arising out of or in connection with the service.
Our total liability for any claim relating to the service will not exceed the greater of (a) the amount you have paid us in the 12 months preceding the event giving rise to the claim, or (b) USD $100.
Nothing in this paragraph limits liability that cannot be excluded by law (including death or personal injury caused by our negligence, fraud, or breach of non-excludable consumer guarantees).

INDEMNITY

You agree to indemnify and hold harmless SemiReal, Inc., its directors, employees, and agents from any claim, loss, or expense (including reasonable legal fees) arising from (a) Your Content, (b) your breach of these Terms, (c) your violation of any law, or (d) your infringement of any third-party rights.

TERMINATION

Either of us may terminate this agreement at any time. You can delete your account in settings. We may suspend or terminate your account if you breach these Terms, if we are required to by law, or if we discontinue the service.
Sections that by their nature should survive termination will survive.

CHANGES TO THESE TERMS

We may update these Terms. Significant changes will be posted on this page and, where appropriate, notified to you by email. Continued use of the service after changes means you accept the updated Terms.

GENERAL

Entire agreement: these Terms (with the Privacy Policy) are the entire agreement between you and SemiReal about your use of the service.
Severability: if any provision is unenforceable, the rest remains in effect.
Assignment: you may not transfer any of your rights or obligations under these Terms without our prior written consent. We may transfer any of our rights or obligations under these Terms without your prior written consent to any of our affiliates or any business that we enter into a joint venture with, purchase, or are sold to.

GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the law of the State of Delaware, USA. Disputes or claims arising in connection with these Terms (including non-contractual disputes or claims) shall be subject to the exclusive jurisdiction of the courts of the State of Delaware, USA — except where you are a consumer protected by mandatory consumer-protection laws of your home jurisdiction, in which case those laws also apply.
